Terms for providers

MSP Pie is operated by Left Leads Pty Ltd (ABN 27 653 931 107), trading as MSP Pie.

These terms apply once you have a provider account, whether you created one or claimed an existing listing. Our directory lists Australian IT providers we've found through our own research. Being listed on its own doesn't mean you've agreed to anything here.

Listings and accounts

  1. Creating a provider account is free. We don't charge for a listing.
  2. Being listed doesn't send you leads and doesn't create a commercial relationship with us. Most listed businesses have never been contacted by us.
  3. To receive leads you go through our sales process and sign a separate agreement with us. Nothing in these terms entitles you to leads.
  4. The ABN you provide must be validly formatted. We don't verify it against the Australian Business Register before your listing is published. Before you're enabled to receive leads, we check that your business is legitimately operating.

Claiming a listing

To claim an existing listing, verify an email address at the business's own domain. If you can't, contact us and we'll ask for other evidence that you're entitled to manage the listing.

We may decline or reverse a claim where we're not satisfied, and we may reverse it if a competing claim turns out to be better founded.

Your commercial agreement with us

Price, package, term, payment, renewal and cancellation are set out in the agreement you sign with us. They aren't restated here.

If anything in these terms conflicts with your signed agreement, your signed agreement prevails.

Leads

A subscription gives you access to matched leads in your nominated service areas and specialities.

Lead volume varies with location, service and demand. We don't state, imply or guarantee a number of leads, and nothing on our website or in our marketing should be read as a guarantee of volume.

We determine whether a lead is qualified before it's offered to you. A lead is qualified where the enquiry is genuine, the buyer is contactable on the details supplied, and the request falls within the service areas and specialities you've nominated.

If a lead isn't qualified

Tell us within 7 days of receiving it and explain why.

If we agree the lead wasn't qualified, we'll provide you with a replacement qualified lead. If we can't, we'll agree an alternative remedy with you.

If a lead is qualified but you'd prefer a different kind of work, that's a matching preference rather than a bad lead, and the remedy is a review and correction of your matching scope.

Nothing in this section excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law. See "Your rights under the Australian Consumer Law" below.

Ranking and placement

Search results are ordered by a combination of factors. We don't publish the method.

We currently don't sell placement in search results. If that changes, we'll say so and any paid placement will be identified as paid.

Conduct we expect

  1. Represent your business accurately in your listing and in any contact with a matched lead.
  2. Contact a matched lead only about the request it was matched for.
  3. Don't attempt to identify or contact a business through MSP Pie before a lead has been accepted.
  4. Don't review your own business, ask anyone to review you in exchange for anything, or arrange reviews from people who haven't used your services.
  5. Don't scrape, extract or systematically copy the directory or use it to build a competing product.

Handling lead information

A lead contains personal information about a real person. When you receive one you must:

  1. use those details only for the enquiry the lead was matched for;
  2. keep them secure;
  3. not add the contact to a marketing list, on-sell them, or share them with anyone else, unless the buyer separately agrees;
  4. delete or de-identify them on request from the buyer or from us, unless you've since entered into an agreement with that buyer and need them for it;
  5. comply with the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth) and the Do Not Call Register Act 2006 (Cth) in how you contact them.

You indemnify us against any claim by a buyer arising from your breach of this section.

Your listing content

You're responsible for the accuracy of information you provide about your business.

We may display a short description drawn from publicly available information about your business, including your own website, until you edit it. Some descriptions are drafted with the assistance of AI tools and checked by a person before publication. Once you edit a field, we won't overwrite it. Ask us to correct or remove a description at any time.

You grant us a non-exclusive, royalty-free licence to host, display, reproduce and promote your listing content, including your business name, logo and images, in connection with operating and promoting MSP Pie. The licence ends when your listing is removed, although cached and archival copies may persist for a period.

You warrant that your listing content is yours to provide and doesn't infringe anyone's rights. If you want us to stop using your name, logo or trade mark, tell us and we'll stop.

Reviews on your listing

Reviews are written by users. We moderate them under our reviews policy (opens in a new tab), which sets out the grounds on which we'll remove or amend a review and how to reply to one.

You have a right of reply on every review of your business, whether or not you have an account with us.

Removing your listing

You can ask us to remove your listing at any time at /contact (opens in a new tab), whether or not you have an account. We'll remove it.

Suspension

We may suspend or remove your listing or account where:

  • you breach these terms seriously or repeatedly;
  • you break the law, or we reasonably believe you have;
  • information you've given us is materially false;
  • we reasonably need to protect buyers, other providers, the platform or ourselves;
  • your account is compromised;
  • we stop operating the platform.

We'll act reasonably, tell you why, and give you an opportunity to respond before we suspend you. Where the need is urgent, we may act first and explain after.

If your listing is suspended and you're a paying provider, how that affects your agreement is dealt with in that agreement.

If we breach these terms

If we materially breach these terms and don't fix it within a reasonable time after you tell us, you can end your relationship with us. Your signed agreement sets out what that means commercially.

Your rights under the Australian Consumer Law

Our services come with guarantees that can't be excluded under the Australian Consumer Law, including that they'll be provided with due care and skill, be reasonably fit for purpose, and be provided within a reasonable time.

Nothing in these terms excludes, restricts or modifies those rights.

Liability

Our service is providing introductions and operating the platform. It doesn't include the work you perform for a buyer. You're responsible for that work, and you indemnify us against third-party claims arising from it, except to the extent the claim results from our own breach or negligence.

To the extent the law allows, and other than for the consumer guarantees above:

  1. Where we're liable for a failure to comply with a consumer guarantee in relation to services not ordinarily acquired for personal, domestic or household use, our liability is limited to supplying the services again or paying the cost of having them supplied again.
  2. Neither of us is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity.
  3. Where liability can't be excluded or limited, our total liability to you in connection with these terms and your agreement is capped at the amounts you've paid us in the 12 months before the event giving rise to the liability.

Changes to these terms

This version applies from the date shown at the top of this page and replaces all earlier versions.

We may change the commercial terms of your agreement only at renewal, or by agreement with you.

For other changes to these terms, we'll publish the updated version and it takes effect 30 days later. We'll tell account holders what's changing before it takes effect.

General

These terms, your signed agreement, our privacy policy and our reviews policy are the whole agreement between us.

If any part is unenforceable, it's severed and the rest continues.

These terms are governed by the laws of Victoria, and you submit to the non-exclusive jurisdiction of the courts of Victoria.
